1. Agreement

These Terms of Service ("Terms") constitute a legal agreement between you (or the organization you represent) and Synapsium Labs ("ShareGuard," "we," "us," "our"). By accessing or using ShareGuard, you agree to these Terms. If you are using ShareGuard on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

ShareGuard provides:

• A secure proxy between AI tools and Google Workspace APIs
• Granular permission controls for AI file access
• Comprehensive audit logging of all AI-initiated actions
• Optional delivery of audit events to external SIEM systems
• An administrative dashboard for managing users, permissions, and security settings

ShareGuard is a pass-through proxy. We do not read, store, analyze, train on, or cache the contents of your Google Workspace files. Content flows directly between the AI client and Google's APIs through our infrastructure.

3. Account Registration

To use ShareGuard, you must:

• Have a valid Google Workspace account
• Authenticate via Google Sign-In
• Provide accurate account information
• Be at least 18 years old (or the age of majority in your jurisdiction)

You are responsible for maintaining the security of your account and for all activities that occur under your account. Notify us immediately at security@synapsiumlabs.io if you suspect unauthorized access.

4. Google Workspace Authorization

ShareGuard requires you to authorize access to your Google Workspace files via OAuth 2.0 with the drive.file scope. This means:

• ShareGuard can only access files you explicitly share with it via Google's file picker
• ShareGuard cannot access your entire Google Drive, Gmail, Calendar, or other Google services
• You can revoke access at any time through the ShareGuard dashboard or directly in your Google Account settings

5. Your Data

5.1 Ownership

You retain all rights, title, and ownership of your data. ShareGuard does not claim any ownership of your Google Workspace files or any data you provide to the service.

5.2 What We Store

We store only:

• Account information (email, display name, organization)
• Audit log metadata (action records, not file contents)
• OAuth refresh tokens (encrypted in Google Cloud Secret Manager)
• Configuration settings (permissions, policies, SIEM connector details)

5.3 What We Don't Store

We never store, cache, copy, or retain the contents of your documents, spreadsheets, presentations, or any other Google Workspace files. See our Privacy Policy for details.

6. Acceptable Use

You agree not to:

• Use ShareGuard to violate any applicable law or regulation
• Attempt to circumvent security controls, permission policies, or rate limits
• Use ShareGuard to access files you are not authorized to access
• Interfere with or disrupt the service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the service
• Resell or redistribute access to the service without our written consent
• Use the service to compete directly with ShareGuard

We reserve the right to suspend or terminate accounts that violate these terms.

7. Subscription and Billing

7.1 Free Trial

We offer a free trial period. During the trial, you have full access to the service. No credit card is required to start a trial. We will not charge you without your explicit consent.

7.2 Paid Plans

After the trial, continued use requires a paid subscription. Subscription fees are billed monthly per active seat (user) via Stripe. Prices are listed on our pricing page and may change with 30 days notice.

7.3 Payment

All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

7.4 Cancellation

You may cancel your subscription at any time through the billing portal. Upon cancellation:

• Your subscription remains active through the end of the current billing period
• No refunds are issued for partial billing periods
• Your data (account, audit logs, configurations) is retained for 90 days, then deleted
• You can reactivate within the retention period without data loss

7.5 Overages

If your organization exceeds its seat limit, we will not interrupt your service. We will contact you to discuss upgrading your plan. Continued use beyond your seat limit constitutes agreement to pay for the additional seats.

8. Service Level

8.1 Availability

We aim to maintain high availability but do not guarantee uninterrupted service. ShareGuard depends on Google Workspace APIs, Google Cloud infrastructure, and other third-party services that are outside our control.

8.2 Maintenance

We may perform maintenance that temporarily affects availability. We will provide reasonable advance notice for planned maintenance when possible.

8.3 Support

Support is provided via email. Response times depend on your subscription tier. Enterprise customers may negotiate custom SLAs.

9. Security

We implement industry-standard security measures to protect your account and data. See our Privacy Policy for details on our security practices.

You are responsible for:

• Keeping your Google Workspace account secure
• Managing your organization's ShareGuard permissions appropriately
• Reviewing audit logs for unauthorized activity
• Reporting security concerns to security@synapsiumlabs.io

10. AI Client Responsibility

ShareGuard provides the infrastructure for AI tools to access Google Workspace files securely. However:

• We do not control what AI clients do with the data they access through ShareGuard
• We do not control the outputs, decisions, or actions of AI models
• You are responsible for configuring appropriate permission policies for AI access
• You are responsible for reviewing audit logs to monitor AI behavior

11. Intellectual Property

ShareGuard and its original content, features, and functionality are owned by Synapsium Labs and are protected by applicable intellectual property laws. Our trademarks may not be used without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law:

• ShareGuard is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the service will be uninterrupted, error-free, or secure
• Our total liability for any claims arising from your use of the service is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for any actions taken by AI clients using data accessed through ShareGuard

13. Indemnification

You agree to indemnify and hold harmless Synapsium Labs from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to ShareGuard if:

• You violate these Terms
• Your payment is past due for more than 30 days
• We are required to do so by law
• We discontinue the service (with 90 days notice)

Upon termination, your right to use the service ceases immediately. We will retain your data for 90 days to allow for export, then delete it.

15. Changes to These Terms

We may modify these Terms from time to time. We will provide at least 30 days notice of material changes via email or through the ShareGuard dashboard. Continued use after the effective date of changes constitutes acceptance. Previous versions of these Terms are archived at:

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

17. Miscellaneous

• Entire Agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and Synapsium Labs regarding ShareGuard
• Severability — if any provision is found unenforceable, the remaining provisions remain in effect
• Waiver — failure to enforce any provision does not constitute a waiver of that provision
• Assignment — you may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
